Welcome to JustHoney.AI. These Terms of Service ("Terms") govern your access to and use of our platform, including our website at www.justhoney.ai, our applications, the AI companions available on the platform, and all related features and services (collectively, the "Service"). Please read these Terms carefully before using the Service.
These Terms form a legally binding agreement between you and QUANTUMCAP LTD (Company number 17131047), a company registered in England and Wales with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ (the "Company", "we", "us", or "our"), trading as JustHoney.AI.
These Terms are to be read together with our Privacy Policy, which forms part of the agreement between you and us, and our 2257 Compliance Statement. The refund provisions applicable to your purchases are set out in Section 9 below and are incorporated as part of these Terms. A model withdrawal form for EU/EEA and UK consumers is provided at the end of these Terms.

1. Acceptance of Terms
By accessing, browsing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use the Service.
If you are creating a JustHoney.AI account, you will be asked to affirmatively accept these Terms and acknowledge the Privacy Policy as part of the registration process. Your account cannot be created without those affirmations.
If you are purchasing a Paid Subscription or Nectar pack, you will additionally be asked at the Review & Confirm page to affirmatively agree to these Terms, our Privacy Policy and our Refund Policy (each linked adjacent to the confirmation button); to accept, for subscriptions, the automatic recurring billing terms displayed in the auto-renewal notice above the button; and to expressly request that we begin supplying the service (or Nectar) immediately. Clicking the "Confirm purchase" button at the bottom of the Review & Confirm page — which is labelled with the total amount and, for subscriptions, the billing frequency — records your offer to enter into a contract on those terms; the contract becomes effective when the conditions in Section 7.1.1 are met.
We may update these Terms from time to time in accordance with Section 22. The most current version will always be available at this URL.
2. Definitions
In these Terms, unless the context otherwise requires:
- "Account" means your registered user account on JustHoney.AI.
- "Age Verification Provider" means the third-party age-assurance specialist engaged by us from time to time to perform age verification (whether by facial age estimation, identity verification, or both), as identified in our Privacy Policy.
- "AI Companion" or "Companion" means any of the fictional, AI-generated characters made available for interaction on the Service.
- "Content" means any text, imagery, video, or other material generated by, displayed on, or made available through the Service.
- "Free Tier" means the free tier of the Service described in Section 5.1.
- "Nectar" means the in-service virtual credit described in Section 5.3.
- "NSFW" means content or interactions of a sexual, sexually suggestive, or otherwise adult-oriented nature.
- "Paid Subscription" or "Premium Subscription" means a recurring subscription to the Honey or Manuka tier described in Section 5.2.
- "Payment Services Provider" means the third-party payment services provider engaged by us from time to time to process card payments, as identified in our Privacy Policy.
- "SFW" means content or interactions that are not of a sexual, sexually suggestive, or otherwise adult-oriented nature.
- "User" or "you" means the individual accessing or using the Service.
3. Eligibility
The Service is intended exclusively for adult users.
By accessing or using the Service, you represent and warrant that:
- You are at least 18 years of age, or the age of majority in your jurisdiction if higher.
- You have the legal capacity to enter into a binding agreement.
- You are not barred from using the Service by any applicable law in your jurisdiction, and you are not located in a jurisdiction where adult-oriented content is prohibited.
- You will comply with these Terms and all applicable local, national, and international laws and regulations in your use of the Service.
On landing at www.justhoney.ai, every visitor is presented with an age gate requiring confirmation that they are 18 or older before any further access to the Service is granted. At account registration, you will be asked to re-confirm that you are 18 or older. These are self-declarations only — they grant access to SFW content and functionality, but not to NSFW content or functionality, which is subject to age verification as described in Section 6.
The Service is not available in certain jurisdictions in which it cannot lawfully be made available or in which we have determined access should be restricted. We determine the jurisdiction from which you are accessing the Service from your approximate geographic location, derived from your IP address (see Privacy Policy, Section 2.2). Where the Service is unavailable in your jurisdiction, your request will be refused at the network edge and you will not be able to register or use the Service.
We reserve the right to terminate, suspend, or refuse to provide the Service to any Account if we have reason to believe the User does not meet the eligibility requirements. Access obtained in breach of this Section is a material breach of these Terms.
4. Account Registration and Email Verification
4.1 Registration methods
You may register for a JustHoney.AI Account by either of the following methods:
- Email and password: You provide an email address and create a password.
- OAuth authentication: You authenticate through a supported third-party OAuth provider, using an existing account with that provider. The current list of supported OAuth providers is identified in our Privacy Policy.
4.2 Required affirmations
Whichever registration method you use, the following affirmations are required and the Account cannot be created without them:
- You must check a mandatory checkbox confirming your acceptance of these Terms and acknowledging that you have read our Privacy Policy (both linked directly from the registration form).
- You must re-confirm that you are 18 years of age or older.
You may optionally choose to opt in to receive marketing emails from us. Marketing opt-in is not a condition of Account creation.
4.3 Email verification
If you register using email and password, a verification email will be sent immediately to the email address you provided. The verification email contains both a unique verification link and a verification code. You may use either method to confirm ownership of the email address.
Until the verification link is clicked or the verification code is entered, your Account is locked and you will not be able to access any part of the Service — including onboarding, Explorer browsing, or free-tier chat. You can request the verification email to be resent at a maximum frequency of once every two minutes, and you can correct a mistyped email address by using the "wrong email?" link on the verification page to discard the pending Account and register again.
If you register via a supported OAuth provider, this verification step is not required — your email address is treated as verified by virtue of having been authenticated by the OAuth provider, and you will proceed directly to onboarding.
4.4 Account security
You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You agree to:
- Provide accurate, current, and complete information during registration and to keep it up to date.
- Not share your Account, password, or OAuth credentials with any third party.
- Notify us immediately at support@justhoney.ai if you suspect any unauthorised use of your Account.
We may suspend or terminate your Account if we reasonably believe it has been compromised, is being used in breach of these Terms, or has been inactive in accordance with Section 16.2.
5. The Service: Free Tier, Paid Subscriptions, and Nectar
5.1 Free Tier
The Service is available on a Free Tier without any payment method being required. The Free Tier provides a one-time allowance of twenty-five (25) messages that can be exchanged with AI Companions.
The Free Tier is SFW-only. AI Companions operating under the Free Tier are configured at the model level to refuse and deflect any attempt to steer the conversation toward sexual, explicit, or otherwise NSFW dialogue. No sexting, nudity, explicit content, sexual content, or 18+ imagery is accessible on the Free Tier, whether user-initiated or Companion-generated. Any attempts to elicit NSFW content will be declined by the Companion.
Once the 25-message allowance has been used, you must upgrade to a Paid Subscription to continue messaging. The Free Tier allowance is non-recurring and is provided once per Account.
The Free Tier is offered on an as-is basis, and we are under no obligation to maintain it indefinitely. Features and usage limits may be updated on reasonable notice.
5.2 Paid Subscriptions
We offer two Paid Subscription tiers, each available as a monthly or annual billing option:
- Honey (Tier 1): entry-level Premium access.
- Manuka (Tier 2): expanded Premium access with higher allowances and additional features.
Current pricing and the specific features included in each tier are displayed on the plan comparison page on our website and on the Review & Confirm page before you confirm a purchase. We operate regional pricing: the price shown to you is determined by your location, established as set out in Section 7.4. Section 7.4 also explains the tax-inclusive nature of displayed prices and how the price displayed at the Review & Confirm page is locked in for your subscription. Annual plans are billed as a single upfront payment and offer a discount relative to the equivalent monthly rate.
Access to Paid Subscription features is subject to successful completion of the pre-authorisation and age verification process described in Sections 6 and 7, and to the ongoing validity of your subscription.
5.3 Nectar
Nectar is a virtual in-service credit used to power certain features of the Service, including AI messaging and the images and videos sent to you by Companions. Nectar packs are available for purchase only to Users who hold an active Paid Subscription. Pack sizes and prices are displayed on the purchase page. You may hold and spend Nectar concurrently with an active subscription; if your subscription lapses, any unspent Nectar remains associated with your Account but is not usable until you re-subscribe.
Each Nectar purchase is a separate transaction from your subscription and is treated as its own contract for refund purposes under Section 9.
Nectar does not constitute real-world currency, has no cash value, and cannot be redeemed for cash. Nectar purchases are subject to the refund provisions in Section 9.
Certain Paid Subscription tiers may include a recurring Nectar allowance as part of the subscription benefits; any such allowance forms part of the subscription and is subject to the subscription's cancellation and refund rules rather than the one-time pack rules.
6. Age Verification for NSFW Content
NSFW functionality on JustHoney.AI is gated behind two cumulative requirements:
- Successful completion of age verification via our Age Verification Provider; and
- An active Paid Subscription.
Self-declaration of age at registration grants access only to SFW content and SFW Companion behaviour. To unlock NSFW content or NSFW Companion behaviour, you must complete age verification with our Age Verification Provider during the Paid Subscription flow described in Section 7, and maintain an active subscription. The method by which age verification is performed depends on the jurisdiction from which you are accessing the Service, as determined from your approximate geographic location:
- Facial age estimation (default): in most jurisdictions, you complete a short facial scan with our Age Verification Provider. If the result confidently indicates that you are an adult, you pass and NSFW functionality is unlocked. If it does not, you are routed to identity verification as a fallback (see below).
- Identity verification (fallback or direct): identity verification is used either as the fallback when facial age estimation does not return a confident adult result, or directly — without facial age estimation — in jurisdictions whose laws require an identity-based check (currently including, but not limited to, France, Italy, and certain U.S. states). For identity verification, you submit a government-issued identity document and a short facial image to our Age Verification Provider, who matches the two and verifies the document.
Our Age Verification Provider is an independent third-party age-assurance specialist; the current provider is identified in our Privacy Policy. The personal data you submit for age verification — whether that is a facial image alone (for facial age estimation) or a facial image together with a government-issued identity document (for identity verification) — is processed by them in accordance with their own terms and privacy policy, and by us in accordance with our Privacy Policy. We receive only the pass/fail result of the verification (together with a limited technical audit record, including the verification method used); we do not receive, store, or process the underlying facial image, identity document, or biometric data you provide to them.
For users accessing the Service from the United Kingdom, the age-verification methods performed by our Age Verification Provider — facial age estimation with identity-verification fallback, or identity verification direct, as applicable to the user's circumstances — are designed to satisfy Ofcom's Highly Effective Age Assurance ("HEAA") guidance issued under Section 81 of the Online Safety Act 2023.
If you fail age verification, the provisions of Section 7.2 apply. NSFW features will not be unlocked, and no subsequent verification attempts can be made on the same Account.
A successful pass result from our Age Verification Provider is a one-time event for your Account. Once your Account has been verified, you will not be asked to re-complete the verification step in order to renew your subscription, purchase Nectar packs, or re-subscribe after any period of lapse. In some jurisdictions we may apply additional automatic session- or device-level controls to satisfy local regulatory requirements (for example, periodic re-authentication tied to your session and device); these are operated transparently and do not require any further action from you. The pass/fail audit record described in our Privacy Policy is retained for the period stated there and is the basis on which we treat the Account as continuously verified for the purposes of NSFW access. We reserve the right to require re-verification of an Account where we are required to do so by a change in applicable law, by a binding regulatory or court order, by the rules of our payment processors or card schemes, or where we have a reasonable suspicion that the Account is being used by a person other than the verified Account holder. Any such re-verification will be requested through the Service or by email to the address registered to the Account.
7. Fees, Billing, and Payment Authorisation
7.1 The Review & Confirm page and your express request for immediate supply
To purchase a Paid Subscription or a Nectar pack, you first select the plan or pack on our plan comparison or Nectar purchase page. You are then taken to the Review & Confirm page, which is the page on which your order is placed and which contains all of the information you need to review before committing to the purchase.
Immediately above the confirmation button, the Review & Confirm page displays:
- an order summary showing your plan name and tier (or pack size and contents), the total amount to be charged, the billing frequency (for subscriptions), the next charge date (for subscriptions) and a brief statement of the cancellation route;
- for subscriptions, a visually distinct auto-renewal notice stating that the subscription will renew automatically, the amount that will be charged on each renewal, the renewal frequency, and that cancellation is available at any time via Account Settings;
- a consent statement containing inline links to these Terms, our Privacy Policy and our Refund Policy, and stating that by clicking Confirm purchase you expressly request that we begin supplying the service (or Nectar) immediately and that you retain your 14-day right of withdrawal subject to the proportionate deduction described in Section 9.3.
The confirmation button itself is labelled "Confirm purchase" together with the total amount in the displayed currency and, for subscriptions, the billing frequency. The total amount displayed on the button is the exact amount that will be charged to your card and that will appear on your statement, inclusive of all applicable taxes for your billing jurisdiction.
By clicking Confirm purchase, you submit an offer to enter into a contract on these Terms, the Privacy Policy and the Refund Policy (each linked in the consent statement) and, for subscriptions, on the automatic recurring billing terms displayed in the auto-renewal notice; and you expressly request that JustHoney.AI begin supplying the service (or Nectar) immediately upon the contract becoming effective in accordance with Section 7.1.1. You acknowledge that, if you later exercise your 14-day right of withdrawal after we have begun supplying the service (or Nectar) at your request, your refund will reflect a proportionate deduction for the service or Nectar you have consumed up to the moment we receive your notice of withdrawal, calculated as set out in Section 9.3.
A confirmation email is sent immediately after purchase (for subscriptions, immediately after successful age verification and capture under Section 7.2) which reproduces, on a durable medium and as required by Article 8(7) CRD and Regulation 16 of the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013: the order summary made at the Review & Confirm page; a statement of the existence and conditions of your 14-day right of withdrawal; the express request you made for immediate supply and your acknowledgment of the proportionate-deduction mechanic; the postal and email address to which a notice of withdrawal should be sent; and a link to the model withdrawal form set out in the Appendix to these Terms.
7.1.1 When the contract becomes effective
Your click on Confirm purchase records your offer to enter into the contract on the terms shown above and your express request that supply begin as soon as the contract becomes effective. The contract becomes effective, and the 14-day statutory withdrawal period in Section 9.2 begins, on the date the charge is captured against your card (the "transaction date" stated in your confirmation email):
- for Paid Subscriptions, capture occurs only after a pass result from our Age Verification Provider as described in Section 7.2, and the contract therefore becomes effective on that capture date;
- for Nectar pack purchases, which under Section 5.3 are available only to Users with an active Paid Subscription (and who have therefore already passed age verification at the time of subscription), capture occurs immediately upon submission of the order against the card-on-file token held by our Payment Services Provider, and the contract therefore becomes effective on that same date.
Until capture, no charge has been made and no service or Nectar has been supplied. If age verification fails or is abandoned in the subscription flow, the pre-authorisation is voided as described in Section 7.2 and no contract comes into effect.
7.2 Pre-authorisation, age verification, and capture (subscriptions)
Payment card processing for JustHoney.AI is handled by our Payment Services Provider, identified in our Privacy Policy. Our initial subscription flow operates as follows:
- On clicking Confirm purchase at the Review & Confirm page, you are redirected to a hosted payment page operated by our Payment Services Provider to enter your card details.
- Our Payment Services Provider places a pre-authorisation hold on your card for the amount of the plan you have selected. The card is validated and the funds are held on your available balance, but no charge is captured at this stage.
- On successful authorisation, you are redirected back to JustHoney.AI. Your subscription is in a pending verification state and paid features remain locked.
- You then complete age verification via our Age Verification Provider. The method (facial age estimation, identity verification, or facial age estimation followed by identity verification as a fallback) is determined by your jurisdiction in accordance with Section 6. The subscription cannot be activated, and no charge will be captured against the pre-authorisation, until our Age Verification Provider returns a pass result.
- If our Age Verification Provider returns a pass, the pre-authorisation is captured — this is the first and only charge against your card — the subscription activates, paid features are unlocked, and the subscription confirmation email is sent. That email is the durable-medium confirmation required by Article 8(7) CRD and Regulation 16 CCR 2013, and reproduces: the order summary made at the Review & Confirm page; a statement of the existence and conditions of your 14-day right of withdrawal; the express request you made for immediate supply and your acknowledgment of the proportionate-deduction mechanic; the postal and email address to which a notice of withdrawal should be sent; and a link to the model withdrawal form set out in the Appendix to these Terms.
- If our Age Verification Provider returns a fail, the pre-authorisation is voided immediately. No charge will be captured against your card. The held funds will be released by your issuing bank, typically within 1–3 business days depending on the bank. The subscription is cancelled, the Account is flagged, and no further payment attempts can be made on the Account.
- If you leave the age verification flow without completing it, the system will issue a reminder email at 24 hours of inactivity and will automatically void the pre-authorisation at 72 hours of inactivity. The held funds will be released by your issuing bank as above. You may restart the sign-up process at any time.
This pre-authorisation-first flow is a deliberate design choice. It ensures that no charge is ever captured against a User who fails age verification, and that users who abandon verification have their authorisation hold released automatically rather than remaining on their card.
7.3 Billing descriptor
Charges by JustHoney.AI will appear on your cardholder statement as QUANTUMCAPAI (or the equivalent within the character limits permitted by your issuing bank), consistent across all transaction types — subscription activation, recurring renewals, and one-time Nectar purchases.
7.4 Regional pricing, billing currency, and taxes
We operate regional pricing. The price shown to you on the plan comparison page, on the Review & Confirm page, and on the "Confirm purchase" button is determined by your applicable region. We determine your applicable region from the approximate geographic location derived from your IP address at the time of purchase.
Prices may be displayed in U.S. dollars (USD) or in another currency, at our discretion and as available for your region. The currency in which a price is displayed to you is the currency in which you will be charged. Your card issuer may apply its own foreign exchange rate, foreign-transaction fee, or both, where the displayed currency is not the currency of your card account; any such fees are determined by your card issuer and are outside our control.
Displayed prices for consumers are inclusive of any value added tax (VAT), sales tax, goods and services tax (GST), or similar consumption taxes that we are required to collect and remit. The amount charged to your card by our Payment Services Provider, and the amount appearing on your statement, will be the same amount displayed on the "Confirm purchase" button. No additional taxes or fees will be added by us at the payment page or after charge. The allocation of the amount charged between net revenue and the various consumption taxes payable to the relevant tax authorities is handled by us on the back end, in accordance with the place-of-supply rules applicable to your billing jurisdiction, with the assistance of an automated tax compliance provider engaged by us from time to time. This allocation has no effect on the amount you pay.
Price lock. The price displayed to you on the Review & Confirm page at the time you confirm purchase is the price you will be charged for that transaction, and — for Paid Subscriptions — is the price you will continue to be charged on each subsequent renewal of that subscription, regardless of any subsequent change to the regional pricing schedule, the currency in which prices are displayed in your region, or the billing country associated with your payment method. The only circumstances in which the price applicable to your active subscription may change are those set out in Section 7.5.
For the avoidance of doubt, where the billing country provided at our Payment Services Provider's payment page, or established subsequently from your payment-method details, differs from the region inferred from your IP address at the Review & Confirm page, the price displayed on the Review & Confirm page is honoured both for the initial transaction and for all subsequent renewals of the same subscription. Any difference between the consumption-tax rate implicit in the displayed price and the rate actually applicable to your billing jurisdiction is absorbed by us on the back end and does not change the amount you are charged.
Prices may differ between regions for tax, regulatory, market, and operational reasons. The price applicable to you is always clearly displayed before you confirm purchase.
We reserve the right to add, remove, or modify pricing regions, the prices within them, and the currencies in which prices are displayed for future purchases. Any such change does not affect the price applicable to subscriptions purchased before the change takes effect, which remain subject to the price lock above; and any change affecting the price applicable to your active subscription is permitted only by following the process in Section 7.5.
7.5 Price changes
We may change the price of a Paid Subscription for future purchases at any time, and may add, remove, or modify pricing regions, prices within them, and display currencies as described in Section 7.4. Subscriptions purchased before any such change takes effect remain subject to the price lock in Section 7.4 and are not affected.
If we wish to change the price applicable to your active subscription at its next renewal — that is, to depart from the price lock in Section 7.4 — we will give you at least 30 days' advance notice by email before the new price takes effect. You may cancel your subscription at any time before the new price takes effect, in accordance with Section 8.3, in order to avoid being charged the new amount. If you do not cancel, the new price will apply from your next renewal onwards.
8. Auto-Renewal, Cancellation, and Failed Payments
8.1 Automatic renewal
Paid Subscriptions renew automatically at the end of each billing period (monthly or annually, according to the plan you selected), unless you cancel before the renewal date. The amount charged on each renewal is the price displayed to you at the Review & Confirm page when you first purchased the subscription, in accordance with the price lock in Section 7.4, unless we have given you at least 30 days' advance notice of a price change in accordance with Section 7.5. By purchasing a Paid Subscription, you expressly authorise us and our payment processor to charge your registered payment method on a recurring basis until you cancel.
Nectar pack purchases are one-time transactions and do not auto-renew. Each Nectar purchase is a separate, discrete transaction.
8.2 Pre-renewal reminder
At least seven (7) days before each recurring charge — for both monthly and annual subscriptions — we will send a pre-renewal reminder email to the email address associated with your Account. The reminder sets out the upcoming charge date, the amount, the plan name, the service period being renewed, a direct link to the self-service cancellation portal, and our support email address. This reminder gives you a meaningful opportunity to cancel before the renewal is processed.
8.3 Cancellation
You may cancel your Paid Subscription at any time, by any of the following methods:
- Self-service portal: Account Settings → Subscription → Cancel → Confirm. This is the primary method and completes in four clicks.
- Email: send a cancellation request from the email address registered to your Account to support@justhoney.ai.
- Discord: open a cancellation ticket in our official Discord community server.
Cancellation is free and takes effect at the end of your current billing period. You will retain access to paid features until then. There are no phone calls required, no hold times, no retention flows, and no persuasion barriers. The cancellation option is prominently displayed in your Account Settings and is always accessible while your subscription is active.
On successful cancellation, we will display an on-screen confirmation and send a cancellation confirmation email stating the cancellation date, the date through which paid access remains active, and confirming that no further charges will be made.
Cancellation of a subscription does not itself constitute a statutory notice of withdrawal under Section 9.2 — it stops future renewals but does not unwind a past charge. To exercise a statutory withdrawal right, please follow the process in Section 9.2.
8.4 Failed recurring payments
If a recurring payment fails, we will apply an automated retry sequence designed to recover payments where the failure is likely transient (for example, temporary insufficient funds, an issuer fraud hold, or a recently-expired card awaiting update).
Retry schedule. Up to three automated retry attempts will be made over a seven-day window:
- Retry 1: 24 hours after the initial failure.
- Retry 2: 3 days after the initial failure.
- Retry 3: 7 days after the initial failure.
Access during the retry window. Access to paid features is suspended immediately on the initial payment failure. The subscription itself is not cancelled during the retry window — if any retry succeeds, paid features are automatically restored.
Billing-cycle adjustment on recovery. Because access to paid features is suspended from the moment the initial payment fails until a retry succeeds, where a retry succeeds your next renewal date will be shifted forward by the number of full days for which access was suspended, rounded up to the next whole day, so that you receive the full paid service period for which you have been charged. For example, if access is suspended for three days before a successful retry on a monthly plan, your next renewal date will move forward by three days. This adjustment applies to monthly and annual subscriptions alike. The adjusted next renewal date will be stated in the recovery confirmation email and will be visible in Account Settings → Subscription, and the pre-renewal reminder described in Section 8.2 will be sent by reference to the adjusted date.
Email communications during the retry sequence. You will receive: (a) an initial failure notification sent immediately on the first failed charge, inviting you to update your payment method via the self-service portal; (b) a pre-final-retry reminder sent 24 hours before the third and final retry, if the first two retries have failed; (c) a recovery confirmation if any retry succeeds; or (d) a final downgrade notification if all retries fail or if the initial failure is a hard decline.
Hard decline handling. Where the initial failure is a hard decline (for example, a card reported lost or stolen, account closed, or permanent suspected-fraud response), the retry sequence will be skipped and the Account will be moved directly to the Free Tier with the final downgrade notification sent.
Post-downgrade state. Following a final failure or hard decline, the Account is moved back to the Free Tier. Your memories, Companions, and conversation history are preserved. Paid features become inaccessible until you re-subscribe, which you may do at any time by updating your payment method and selecting a new plan.
8.5 Updating your payment method
You may update your payment method at any time via Account Settings → Subscription → Payment Method (four clicks on the website). You may also contact support@justhoney.ai or open a Discord support ticket.
9. Refund Policy
This Section 9 sets out our refund policy and forms part of these Terms. It does not limit, waive, or otherwise affect any non-excludable statutory consumer rights you have in your jurisdiction.
9.1 At a glance
- EU/EEA and UK consumers have a 14-day statutory right of withdrawal from a first-time Paid Subscription purchase and from each Nectar pack purchase. Where performance has begun at your request (see Section 7.1), a proportionate deduction is applied for the service or Nectar you have consumed.
- All users globally may request a goodwill refund within 48 hours of a first-time Paid Subscription purchase (7 days for annual subscriptions), subject to the usage thresholds in Section 9.4.
- Unused Nectar packs are fully refundable within 24 hours of purchase if no Nectar from the pack has been consumed.
- Subscription renewals are not refundable as a matter of commercial policy; statutory rights that apply to individual renewal transactions are honoured in accordance with Section 9.2.
- Cancellation is free and takes effect at the end of your current billing period — you may cancel at any time via Account Settings without incurring a charge beyond any period already paid for.
- Users who fail age verification are never charged — the pre-authorisation hold is voided rather than refunded (see Section 9.9).
9.2 Your 14-day statutory withdrawal right (EU/EEA and UK)
If you are a consumer resident in the European Union, European Economic Area, or the United Kingdom, you have the right to withdraw from your contract with us within 14 days of its conclusion (as defined in Section 7.1.1), without giving any reason. This right is conferred by Directive 2011/83/EU (the Consumer Rights Directive), as amended by Directive (EU) 2019/2161 and as transposed into the applicable Member State's national law, and in the United Kingdom by the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (SI 2013/3134) (the "CCR 2013").
This right applies to:
- your first Paid Subscription purchase (Honey or Manuka);
- each Nectar pack purchase (each Nectar pack is a separate contract and has its own 14-day withdrawal window);
- any subscription renewal in the limited circumstances where applicable law confers a fresh statutory withdrawal right on the renewal transaction itself. Subscription renewals for which the pre-renewal reminder in Section 8.2 was properly sent are a continuation of the existing subscription contract and do not, of themselves, trigger a new statutory withdrawal right. Section 9.6 sets out an additional policy commitment we make in respect of renewals where the pre-renewal reminder was not sent.
To exercise this right, send us an unambiguous statement of your decision to withdraw within the 14-day window by emailing support@justhoney.ai with the subject line "Withdrawal from contract", stating that you are exercising your statutory right of withdrawal and identifying the transaction concerned (for example, by providing your transaction ID, the date of purchase, and the email address registered to your Account). A written email notice is sufficient — no specific form of words is required, and you may use the model withdrawal form at the end of these Terms if you prefer.
You may also stop future charges at any time by cancelling your subscription through the self-service portal (as described in Section 8.3), but cancellation on its own is not treated as a notice of statutory withdrawal. If you wish to exercise your statutory withdrawal right, please email us as set out above so that we can process it correctly.
Where the right applies, we will reimburse you for all payments received (subject to the proportionate deduction in Section 9.3 where performance began at your request), using the same payment method used for the original transaction, within 14 days of receiving your notice of withdrawal.
9.3 Proportionate deduction where performance began at your request
Because you expressly requested at the Review & Confirm page that we begin supplying the service or Nectar immediately (Section 7.1), where you subsequently exercise your right of withdrawal we are entitled under Article 14(3) CRD and Regulation 36(4) CCR 2013 to deduct a proportionate amount reflecting what has actually been supplied to you up to the moment we receive your notice of withdrawal.
We calculate this proportionate amount as follows:
- Monthly subscriptions: refund = monthly fee × ((days in cycle − days elapsed since start) ÷ days in cycle). For example, withdrawal on day 7 of a 30-day cycle returns approximately 76.7% of the monthly fee paid.
- Annual subscriptions: refund = annual fee × ((days in year − days elapsed since start) ÷ days in year). For example, withdrawal on day 14 of an annual plan returns approximately 96.2% of the annual fee paid.
- Nectar packs: refund = (unspent Nectar ÷ total Nectar in pack) × pack price. For example, withdrawal on a Nectar pack with 40% of the Nectar already spent returns approximately 60% of the pack price.
The remainder is refunded to your original payment method within 14 days of our receipt of your notice of withdrawal.
If you did not click Confirm purchase (and therefore did not make the express request in Section 7.1), performance will not have begun during the withdrawal period, and on withdrawal you will be refunded in full.
9.4 Goodwill refund — first-time Paid Subscription purchases
Separately from your statutory rights, we may grant a discretionary goodwill refund for a first-time Paid Subscription purchase if all of the following are true:
- The request is made within 48 hours of the initial purchase (7 days for annual subscriptions).
- Fewer than 50 messages have been exchanged on the Account since purchase.
- Fewer than 5 images or videos have been received from Companions since purchase.
- Payment was made via a reversible method (credit or debit card).
- No previous goodwill refund has been granted on the Account.
Goodwill refunds are at our sole discretion and are not an entitlement. Goodwill offers do not limit or replace your statutory rights under Section 9.2.
9.5 Unused Nectar packs (global)
Any purchaser of a Nectar pack may request a full refund of that pack within 24 hours of purchase if no Nectar from the pack has been spent. This is a commercial goodwill offer available to Users worldwide and does not affect any statutory rights you may have. Bonus or daily Nectar granted as part of a Paid Subscription tier forms part of the subscription and is not separately refundable under this Section.
9.6 Auto-renewal charges
If you are an EU/EEA or UK consumer, you may have statutory withdrawal rights in respect of an individual renewal charge in the limited circumstances where these arise under applicable law. Where any such right applies, we will honour it in accordance with Sections 9.2 and 9.3.
Separately, as a matter of policy, where we have failed to send the pre-renewal reminder described in Section 8.2 in respect of a renewal, we will treat that renewal as if a fresh 14-day right of withdrawal applied, and we will process any refund request received within 14 days of the renewal date in accordance with the same procedure and proportionate-deduction calculation set out in Sections 9.2 and 9.3. This policy commitment is in addition to, and does not limit, any statutory rights you may have.
Outside those statutory rights and this policy commitment, subscription renewal charges are not refundable as a matter of commercial policy. To make sure you always have a meaningful opportunity to cancel before any renewal is processed, the pre-renewal reminder described in Section 8.2 is sent 7 days in advance of every recurring charge — for both monthly and annual subscriptions — and contains the upcoming charge date, the amount, the plan name, and a direct link to the self-service cancellation portal.
9.7 What is not refundable
Outside the statutory rights in Section 9.2 and the goodwill criteria in Sections 9.4 and 9.5, refunds are generally not issued for:
- dissatisfaction with companion personalities, image or video quality, or AI responses;
- accidental renewals of a subscription that you did not cancel in time;
- changes in personal circumstances or loss of interest;
- Nectar that has been spent on messages, images, or videos (outside the proportionate deduction in Section 9.3);
- content moderated or removed by us as a result of a breach of these Terms or our acceptable-use rules;
- restrictions on your use of the Service arising from moderation actions taken in response to a breach of these Terms or our acceptable-use rules;
- accounts suspended or terminated for breach of these Terms;
- technical issues attributable to the user's device, network, or payment provider.
For the avoidance of doubt, a failed recurring payment that is subsequently recovered through the retry sequence in Section 8.4 is not a refundable event — the eventual successful charge is for the full renewal period — but the billing-cycle adjustment in Section 8.4 applies so that you receive the full paid service period for which you have been charged.
9.8 How to request a refund
Email support@justhoney.ai from the email address registered to your Account, including:
- your transaction ID (visible in Account Settings or on your receipt);
- the date of purchase;
- whether you are exercising a statutory withdrawal right under Section 9.2 or requesting a goodwill refund under Section 9.4 or 9.5;
- a brief reason (optional for statutory withdrawal; required for goodwill requests).
We aim to acknowledge and respond to refund requests within 5 business days of receipt; this is an internal service-level target and does not extend or delay any statutory refund timeframe. For statutory withdrawals under Section 9.2, the refund is issued to the original payment method within 14 days of our receipt of your notice of withdrawal, as required by law. For goodwill and other approved non-statutory refunds, funds are returned to the original payment method within 5–10 business days of approval.
9.9 Age verification failures
Users who fail age verification via our Age Verification Provider are not charged. As described in Section 7.2, the pre-authorisation hold placed during the subscription flow is voided rather than refunded, the authorisation is released by your issuing bank within 1–3 business days, and no transaction is processed against the Account. Because no charge is ever captured in this scenario, the refund provisions above do not apply to it.
9.10 Chargebacks
Please contact support@justhoney.ai before filing a chargeback with your bank or card issuer. Statutory withdrawal requests cannot be refused where the conditions in Section 9.2 are met, and we will process goodwill requests in accordance with Sections 9.4 and 9.5. There is no need to bypass our support team on eligible requests.
Unjustified chargebacks filed in respect of non-refundable items (for example, renewals of which you were clearly notified, or Nectar that has been fully consumed) may result in suspension of the Account pending resolution. We retain transaction logs and usage records, as described in our Privacy Policy, to dispute fraudulent chargebacks with our payment processor.
9.11 Governing rights
Nothing in this Section 9 limits your mandatory consumer rights under EU, EEA, or UK law. Where this Section 9 conflicts with local mandatory law, local law prevails.
10. User Content and License
10.1 Your content
"User Content" means any text, messages, images, prompts, feedback, or other material you submit, post, or transmit through the Service.
You retain ownership of your User Content. By submitting User Content, you grant QUANTUMCAP LTD a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, distribute, display, and perform your User Content solely for the purposes of:
- providing, operating, and maintaining the Service;
- improving and developing the Service and our AI technology; and
- ensuring compliance with these Terms and applicable laws.
AI training and research — your choice. We may wish to use anonymised and aggregated extracts from User Content to train, evaluate, and improve AI models and for related research. This is optional for you. You can opt out of this use at any time via Account Settings → Privacy → AI Training, and we will not use your User Content for that purpose going forward. Opting out does not affect our use of User Content for the operational purposes in the bullets above, and does not affect model improvements that have already occurred based on previously-submitted content that was lawfully included prior to your opt-out. Further detail on lawful basis and safeguards is set out in our Privacy Policy.
You represent and warrant that you own or have the necessary rights in your User Content and that your User Content does not infringe the rights of any third party.
10.2 Prohibited User Content
You must not upload, submit, or otherwise transmit any User Content that:
- depicts, suggests, or could reasonably be interpreted as depicting a minor in any sexual or suggestive context;
- depicts or is derived from a real, identifiable person in a sexual or intimate context without that person's documented consent, or that constitutes so-called "deepfake" imagery;
- is unlawful, defamatory, harassing, threatening, abusive, or promotes violence or discrimination;
- infringes any copyright, trade mark, trade secret, or other intellectual property right;
- contains malware, viruses, or other harmful code; or
- is intended to harass, harm, or deceive another person.
In addition, and without limiting the generality of the above, you must not upload, submit, request, generate, solicit, or otherwise transmit any User Content, and you must not use the Service to produce any Content, that depicts, describes, promotes, normalises, or facilitates any of the following prohibited categories:
- child sexual abuse material;
- non-consensual sexual content, including rape and scenarios involving impaired consent through drugs, alcohol, or other incapacitation;
- incest;
- bestiality;
- necrophilia;
- snuff and extreme violence;
- sexual or intimate content involving real, identifiable persons without their documented consent, including so-called "deepfake" content;
- human trafficking, or the facilitation of human trafficking;
- scat and extreme fetish content;
- coercion and hypnosis scenarios; and
- hate content, including racial slurs, discriminatory content, and content promoting hatred or violence against any individual or group on the basis of a protected characteristic.
These prohibitions apply regardless of whether the content is fictional, fantasy, role-play, or AI-generated, whether it is expressed in text or visual form, and regardless of the wording, code words, or framing in which it is requested or presented.
We have a zero-tolerance policy for child sexual abuse material (CSAM). Any content identified or reasonably suspected to be CSAM will be preserved for law-enforcement purposes and reported to the appropriate authorities, including the Internet Watch Foundation (IWF) and the National Crime Agency (NCA) in the United Kingdom, the National Center for Missing & Exploited Children (NCMEC) in the United States, and any other competent authority as appropriate.
10.3 Reporting illegal content and takedown requests
If you believe that Content on the Service is illegal, infringes your rights, or depicts you (notwithstanding our prohibition on depictions of real, identifiable persons), you may report it to us. Users can use the in-product report control on any message, image, or video; anyone who is not a logged-in user — including any person who believes Content depicts them and any rightsholder — may contact us at support@justhoney.ai. Our Illegal Content Complaints and Takedown Policy, available at justhoney.ai/takedown, sets out the channels for such reports, the immediate action we take, our seven (7) day resolution service level, our escalation procedures, and the expedited pathway for suspected child sexual abuse material.
11. AI-Generated Content
Important Disclaimer
AI Companions on JustHoney.AI are fictional characters, powered by artificial intelligence. They are not real people. All interactions, responses, and personalities are computer-generated simulations.
All visual content on the Service — including character imagery and any video — is generated using AI image and video synthesis technologies and does not depict any real person. Further details of our approach to AI-generated content are set out in our 2257 Compliance Statement.
By using the Service, you acknowledge and agree that:
- AI-generated text, images, audio, video, and other content may not always be accurate, appropriate, complete, or factual.
- AI Companions do not have real feelings, consciousness, or awareness. Any expressed emotions are simulated.
- The Service is not a substitute for professional advice — medical, legal, financial, or psychological — and you should not make important decisions based solely on information or suggestions provided by an AI Companion.
- AI Companion behaviour may change over time as we update and improve the underlying models.
We expressly disclaim liability for actions you take or decisions you make in reliance on AI-generated content. You use AI-generated content at your own risk.
12. Prohibited Use and User Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- use the Service for any unlawful purpose, or in violation of any applicable law or regulation;
- use the Service to harass, stalk, threaten, or intimidate any person;
- impersonate any person or misrepresent your affiliation with any person or organisation;
- attempt to gain unauthorised access to any part of the Service, other Accounts, or any computer systems or networks connected to the Service;
- use any automated means — including bots, crawlers, or scrapers — to access the Service, except for public web crawlers operating in compliance with our robots.txt;
- interfere with, disrupt, or place an unreasonable load on the Service or the systems that support it;
- upload, transmit, or distribute viruses, malware, or other harmful code;
- reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service, except as permitted by applicable law;
- resell, sublicense, or commercially exploit the Service or any Content generated through the Service without our prior written consent;
- use the Service to generate spam, phishing content, or fraudulent communications;
- circumvent or attempt to circumvent any access controls, rate limits, age verification measures, or content moderation systems; or
- use the Service to generate, request, solicit, or attempt to elicit any content of a type prohibited by Section 10.2, including any of the prohibited content categories enumerated in that Section (among them child sexual abuse material; non-consensual sexual content, including rape; incest; bestiality; snuff and extreme violence; human trafficking or its facilitation; and hate content).
We reserve the right to investigate suspected breaches and to take such action as we consider appropriate, including suspending or terminating your Account and reporting you to law enforcement where appropriate.
13. Intellectual Property
The Service, and all of its contents, features, and functionality — including website design, text, graphics, logos, icons, images, audio, video, software, source code, AI models, character concepts and designs, and compilations thereof — are the exclusive property of QUANTUMCAP LTD or its licensors, and are protected by UK and international copyright, trade mark, patent, trade secret, and other intellectual property laws.
The "JustHoney.AI" name, logo, and all related names, logos, product and service names, designs, and slogans are trade marks of QUANTUMCAP LTD. You may not use any of these marks without our prior written permission.
Nothing in these Terms transfers to you any right, title, or interest in or to the Service or any Content on the Service. All rights not expressly granted in these Terms are reserved by QUANTUMCAP LTD and its licensors.
14. Privacy
Our collection, use, and disclosure of personal data in connection with the Service are described in our Privacy Policy. By using the Service, you acknowledge that you have read our Privacy Policy.
You acknowledge that internet-based communications are not entirely private or secure, and that any message or information you send through the Service may be intercepted or accessed by third parties, despite our use of industry-standard security measures.
15. Third-Party Services
The Service integrates with, and depends on, services provided by third parties. We rely on third-party providers for, among other functions:
- payment processing;
- age verification (including facial age estimation and identity verification);
- cloud infrastructure hosting and transactional email delivery;
- email campaign and lifecycle notifications;
- OAuth authentication for Account registration and login;
- AI text generation; and
- content delivery and analytics.
The current providers in each role are identified in the third-party services and sub-processors section of our Privacy Policy, which is updated when providers change. Each third-party provider has its own terms and privacy policy, which we encourage you to review. We are not responsible for the availability, content, privacy practices, or other conduct of these third parties.
16. Termination
16.1 Termination by you
You may terminate your Account at any time by cancelling any active subscription (see Section 8.3) and subsequently requesting deletion of your Account via support@justhoney.ai. Account deletion will be processed in accordance with our Privacy Policy.
16.2 Termination by us
We may suspend or terminate your access to the Service at any time, with or without prior notice, including where we reasonably believe:
- you have breached these Terms;
- your Account is being used for fraudulent, abusive, or unlawful activity;
- payment on your Account has failed and has not been recovered;
- your Account has been inactive for 24 consecutive months (that is, no successful login during that period), in which case we will send a reactivation notice to your registered email address at least 30 days before suspension or deletion;
- we are required to do so by law, regulation, or a request from a competent authority; or
- we are discontinuing or materially modifying the Service.
16.3 Effect of termination
On termination, your right to access the Service immediately ceases. We may delete or anonymise your Account data in accordance with our Privacy Policy. Provisions that by their nature should survive termination — including ownership, warranty disclaimers, indemnification, and limitations of liability — will continue in effect.
17. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WITHOUT LIMITING THE FOREGOING, WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.
Nothing in this Section 17 excludes or limits any liability that cannot be lawfully excluded or limited, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, nor (in respect of consumers resident in the UK) the statutory implied terms of the Consumer Rights Act 2015 regarding quality, fitness for purpose, and conformity, nor the equivalent statutory consumer rights in any EU/EEA Member State. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL QUANTUMCAP LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR:
- any indirect, incidental, special, consequential, exemplary, or punitive damages;
- any loss of profits, revenue, data, goodwill, or other intangible losses; or
- any damages arising from the conduct of any third party using the Service,
in each case arising out of or in connection with your use of, or inability to use, the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
OUR TOTAL AGGREGATE LIABILITY TO YOU IN CONNECTION WITH THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED U.S. DOLLARS (USD 100).
Nothing in this Section 18 excludes or limits any liability that cannot be lawfully excluded or limited under applicable law, including — for consumers in the EU/EEA and UK — liability for gross negligence, wilful misconduct, death or personal injury caused by negligence, fraud, or any non-excludable rights under the UK Consumer Rights Act 2015 or equivalent EU/EEA consumer-protection legislation.
19. Indemnification
You agree to defend, indemnify, and hold harmless QUANTUMCAP LTD, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:
- your breach of these Terms;
- your use of the Service;
- your User Content;
- your violation of any third-party right, including intellectual property or privacy rights; or
- your violation of any applicable law, rule, or regulation.
This indemnification obligation does not apply to EU/EEA and UK consumers to the extent that it would conflict with non-excludable consumer-protection law.
20. Dispute Resolution
20.1 Informal resolution
Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting us at support@justhoney.ai. We will attempt to resolve the dispute informally within 60 days of receiving your notice.
20.2 Binding arbitration (non-consumer users)
If you are not a consumer under applicable law, and the dispute is not resolved informally under Section 20.1, you and QUANTUMCAP LTD agree to resolve any remaining dispute through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA). The seat of the arbitration will be London, England. The language of the arbitration will be English. Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of that party's intellectual property rights.
20.3 EU/EEA and UK consumers
If you are a consumer resident in the EU, EEA, or UK, nothing in these Terms affects your right to bring proceedings in, or to have these Terms enforced in, the courts of your country of residence, as required by applicable consumer-protection law. The binding arbitration and class-action waiver provisions in this Section 20 do not apply to you.
You may also have access to alternative dispute resolution (ADR) schemes in your country of residence under Directive 2013/11/EU or equivalent national law. We will consider in good faith any request to participate in an appropriate ADR procedure, although we are not generally required to do so.
20.4 Class-action waiver (non-consumer users)
If you are not a consumer under applicable law, you and QUANTUMCAP LTD agree that any claim may be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
21. Governing Law
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales, without regard to its conflict-of-laws principles. Subject to Section 20, you consent to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute.
If you are a consumer resident in the EU, EEA, or UK, this Section 21 does not deprive you of the protection afforded by any provision of the law of your country of habitual residence that cannot be derogated from by agreement.
22. Changes to Terms
We may modify these Terms at any time. When we make material changes, we will:
- update the "Last updated" date at the top of these Terms;
- provide reasonable advance notice of the change through the Service — for example, by a banner notification; and
- for material changes that affect your rights or ongoing subscription, send an email to the address associated with your Account, with a summary of the change, its effective date, and a link to the updated Terms.
For material changes affecting an active Paid Subscription, the changes will not take effect for that subscription until the next renewal, and you may cancel the subscription in accordance with Section 8.3 before the renewal if you do not wish to be bound by the changes.
Your continued use of the Service after the effective date of any change constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service and cancel any active subscription.
23. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and any policies referenced within them, constitute the entire agreement between you and QUANTUMCAP LTD regarding the Service and supersede any prior agreements between us.
Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable.
No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets, on notice to you.
Force majeure. Neither party will be liable for any failure or delay in performance caused by circumstances beyond that party's reasonable control, including acts of God, war, terrorism, riots, embargoes, labour disputes, internet or power failures, or governmental action.
No agency. No agency, partnership, joint venture, or employment relationship is created by these Terms.
Language. These Terms are written in English. Any translation of these Terms is provided for convenience only; in the event of a conflict between the English version and any translation, the English version prevails.
